TERMS & CONDITIONS OF AUCTION: Agent warrants to Seller that it is authorized to conduct its duties contemplated under this agreement and shall require each auction bidder to agree to extensive sale terms and conditions that contain language substantially similar to the following in addition to other terms: Buyer represents that: (1) it has inspected the Equipment or has otherwise been provided the right to inspect the Equipment and agrees to receive the Equipment in an “AS IS, WHERE IS” condition without any further representation, warranty or understanding from the Seller or anyone acting on Seller’s behalf; (2) it understands that the use of the Equipment may be subject to various federal, state and local environmental, safety and health laws and regulations, and Buyer agrees that it will not use the Equipment in any manner that is prohibited by such laws and regulations, and will only use the Equipment in full compliance with all such laws and regulations; (3) it will only dispose of the Equipment in full compliance with all applicable laws, rules and regulations; (4) it is aware that Equipment may be, bear, or contain or become toxic, flammable and/or hazardous, and (5) it is familiar with any health, safety and/or environmental hazards arising out of or resulting from the possession, use, storage, transportation, maintenance, handling, treatment and disposal of such hazardous materials or Equipment.
Buyer agrees to warn all persons (including, but not limited to, Buyer’s employees, contractors, agents, customers and subsequent purchasers and users) who may purchase, use or otherwise become exposed to the Equipment of any hazards associated therewith (including but not limited to any hazards indicated in the documents referenced herein or attached hereto). Buyer agrees to take all actions necessary or appropriate to protect such persons from said hazards, including, without limitation, informing such persons of the proper use, storage, transport, handling, treatment and disposal procedures for Equipment and, if applicable, ensuring that appropriate safety and protective devices are installed and functioning.
Buyer shall indemnify, defend and hold harmless Seller and its past, present and future affiliated companies, and their respective officers, directors, employees, agents, shareholders and their respective successors and assigns, from and against all claims, liabilities, losses, damages, fines, penalties and expenses (including, without limitation, those arising from Buyer’s entry onto the Place of Delivery and Buyer’s actions thereon, including, without limitation, Buyer’s removal of any Equipment, and attorneys’ and experts’ fees and expenses) of every type or kind whatsoever (including without limitation liability for pollution, environmental damage or restoration, nuisance, bodily injury, sickness and/or disease, death, and loss of or damage to property), which are caused by, or arise out of or in connection with, Buyer’s removal, transportation, handling, use, sale, disposition, delivery of, or other act or omission involving any Equipment, whether such liability is based on contract, warranty, tort (including negligence and strict liability), statute, or otherwise. Buyer shall at all times maintain insurance coverage (general liability, automobile, etc.) with customary limits to support its indemnifications obligations hereunder, and certificates of insurance evidencing such coverage in a form satisfactory to Seller shall be made available to Seller upon request, prior to delivery. No statement (oral or written), including any catalog description or photographs at any auction, or elsewhere shall be deemed a warranty or representation, or any assumption of responsibility of any kind or nature, whatsoever. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ANY AND ALL WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY OF GOODS ARE EXPRESSLY DISCLAIMED.
